Job Description

We have been retained on an exclusive basis to recruit a top-tier General Counsel for a dynamic, late-stage biotechnology company headquartered in Dallas, Texas. This innovative and rapidly growing organization is seeking a highly motivated, business-minded attorney to lead its legal function and serve as a strategic partner to the executive team.

The General Counsel will oversee all legal matters, including commercial agreements, employment issues, intellectual property portfolio management, corporate governance, human resources support, and a variety of corporate transactions.

Key Responsibilities

  • Draft, review, and negotiate a broad range of agreements, including NDAs, technology licenses, collaboration agreements, marketing and development contracts, vendor agreements, R&D partnerships, and other commercial arrangements.
  • Provide clear, practical legal advice to internal business teams on day-to-day corporate matters and strategic initiatives.
  • Oversee patents, trademarks, and other intellectual property in a high-value biotechnology portfolio, working closely with outside IP and patent counsel.
  • Advise on corporate governance, compliance, and regulatory issues as needed.
  • Work onsite at the company’s Dallas, Texas headquarters.

Required Skills & Qualifications

  • Substantial experience in the biotechnology, life sciences or technology industries, including governance, commercial transactions, software licensing, and IP development.
  • Proven ability to manage a broad range of corporate technology agreements, including licensing, collaboration, and NDA contracts.
  • Strong business acumen, sound judgment, and the ability to clearly communicate legal issues and risk assessments.
  • Proven leader of a legal department and supportive of business goals.

Education & Experience

  • J.D. from an ABA-accredited law school and active admission to a U.S. State Bar.
  • Minimum of 7 years of relevant legal experience, with a top AmLaw or equivalent firm and in-house legal department generalist in the biotechnology, life sciences, or technology fields.
